QODEMODE - Terms and Conditions
1. Introduction
These Terms & Conditions (“Terms”) govern the services provided by Qodemode (“we,” “us,” or “our”) to you, the client (“you,” “your,” or “Client”). By engaging our services, you agree to these Terms. A separate Scope of Work (SOW) or proposal document will specify project details and take precedence in case of any conflict. Our Privacy Policy, available at [link], explains how we collect and use personal data.
2. Services and Scope
We provide bespoke website design, development, and related digital services (e.g., consultancy, branding, SEO, maintenance). Deliverables, timelines, and fees are defined in the SOW. Any changes requested by the Client may require additional costing and an updated SOW.
3. Client Responsibilities
Provide accurate information, branding assets, content, access credentials, and timely feedback. Ensure provided content is original and free of copyright issues Provide timely approvals to avoid project delays.
4. Payment Terms
An advance payment of 30% of the total project fee is required before commencement of work. A further 30% becomes due upon approval of the design stage. An additional 30% is payable upon approval of the development stage. The final 10% is due upon successful completion and delivery of the project. Additional features, revisions beyond the agreed number, or delays caused by client-side factors may result in extra charges.Invoices are payable upon receipt unless otherwise specified in the SOW.
5. Project Timeline
Work begins within 7 business days after receiving the advance payment.Delivery dates are based on the SOW and depend on timely client inputs. Delays may incur revised deadlines and additional charges as needed
6. Revisions & Scope Changes
Initial revisions within the agreed timeline are included at no additional cost.Post-approval changes or out-of-scope requests will be billed hourly and require formal confirmation via email or revised SOW.
7. Hosting & Maintenance
Hosting, domains and security are the client’s responsibility unless included in a separate maintenance plan. Ongoing support or updates require a separate maintenance contract.
8. Intellectual Property & Ownership
Upon full payment, you receive ownership of the final design, site content, and custom code we deliver. We retain the right to display the work in our portfolio and marketing materials unless otherwise agreed in writing.Third-party software, plugins or assets remain under their original licenses.
9. Confidentiality & NDAs
Both parties agree to keep all non-public, proprietary information shared in confidence during the project confidential.If an NDA is required, it must be agreed upon before project kickoff.
10. Termination
Either party may terminate the project with written notice. If terminated by the client: All work completed up to the date of termination remains billable. Advance payments are non-refundable. If terminated by Qodemode: The client will only be billed for work completed up to that date, and any unused portion of the advance may be refunded at our discretion.
11. Warranties & Liability
We deliver services with reasonable skill and care, but do not guarantee specific outcomes (e.g., SEO ranking, conversion rates). We are not liable for indirect, incidental, or consequential damages. Our maximum liability is limited to the total fees paid for the project. We are not responsible for issues caused by third-party services or providers.
12. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall be referred to and finally resolved by arbitration. For clients based in India, arbitration will be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996, with proceedings in English. For international clients, arbitration will be conducted under the UNCITRAL Arbitration Rules, with proceedings in English and the seat of arbitration to be mutually agreed.The arbitral award shall be final and binding on both parties.
13. Amendments
We may revise these Terms occasionally. Any changes will be communicated in writing. Continued engagement post-revision indicates your acceptance.
14. Entire Agreement
These Terms, along with the accompanying SOW, constitute the full agreement. Any prior discussions or proposals not included are superseded.
